Corporate Counsel – Americas

About the role

Omni Bridgeway is seeking a Corporate Counsel for the Americas region to support its fast‑growing legal dispute finance business. The role blends transactional finance work with commercial legal advice, serving investment teams across the United States and Canada.

Key responsibilities

• Prepare and manage pre‑investment documentation such as NDAs and term sheets for the Americas investment teams.
• Negotiate and implement vendor contracts, service agreements, and engagement letters with third‑party vendors and law firms.
• Oversee external counsel in drafting, negotiating, and closing litigation funding agreements and related transactions.
• Assist with SEC compliance matters for the US investment adviser.
• Support global and strategic projects, including fund formation and regulatory matters.
• Maintain and update US transactional templates, including NDAs, engagement letters, term sheets, and funding agreements.

Required profile

• Qualified lawyer with 6‑8 years of post‑qualification experience in corporate or transactional finance.
• Demonstrated ability to manage multiple workstreams and build trusted relationships with internal and external stakeholders.
• Strong commercial acumen and interest in legal dispute finance.
• Experience with securities regulation, particularly SEC compliance, is advantageous.
