Transactional Attorney

About the role

We are seeking a Transactional Attorney to join a mission‑driven nonprofit in Chicago on a long‑term contract basis. The role will provide practical, business‑focused legal counsel on a variety of commercial and vendor agreements within a collaborative hybrid work environment.

Key responsibilities

• Prepare, review, and negotiate service contracts, master agreements, statements of work, confidentiality agreements, software and licensing documents.
• Advise internal stakeholders on contract language, legal exposure, and compliance to support informed business decisions.
• Partner with procurement, finance, IT, and operational teams to facilitate vendor onboarding and engagement.
• Provide counsel on privacy, confidentiality, indemnity, insurance, intellectual property, and liability provisions.
• Ensure contracts align with federal, state, and local laws, nonprofit obligations, and organizational policies.
• Assist with privacy and information‑security matters related to contractual commitments.
• Develop and refine contract templates, playbooks, and standard clauses to improve consistency.
• Draft supporting legal documents such as releases and IP agreements, and help resolve disputes or alleged breaches.
• Monitor legal and regulatory developments affecting nonprofit and higher‑education vendor relationships and enhance contract lifecycle processes.

Required profile

• Juris Doctor from an accredited law school.
• Active license to practice law in a U.S. jurisdiction.
• Minimum three years of experience in transactional, commercial, or vendor contract matters.
• Proven ability to draft, negotiate, and analyze contracts.
• Experience working cross‑functionally with business teams.
• Strong organizational skills and ability to manage multiple matters and deadlines.

• Long‑term contract position with a pay range of $65,000–$75,000 per year.
