Vice President, Legal

About the role

This executive position leads the entire legal function for a fast‑growing, private‑equity‑backed SaaS company in the United States. Reporting to the CFO and working closely with the Board and PE sponsor, you will build a modern, automation‑driven legal infrastructure that supports rapid scaling and exit readiness.

Key responsibilities

• Design and implement a legal operating model that incorporates AI‑powered tools, contract lifecycle management, and automated compliance workflows.
• Develop and oversee a commercial contracting strategy with scalable playbooks for global sales while maintaining risk controls.
• Partner with Product and Engineering to ensure AI/ML product development complies with data usage, algorithmic governance, and regulatory standards.
• Serve as Board Secretary, managing corporate governance, board materials, and enterprise compliance.
• Lead enterprise risk management, including insurance, regulatory exposure, and financial/legal risk for valuation and exit readiness.
• Oversee global employment law, equity structures, and cross‑jurisdiction workforce compliance in collaboration with People Operations.
• Provide legal support for M&A and corporate development, ensuring diligence readiness and post‑acquisition integration.

Required profile

• J.D. from an ABA‑accredited law school with active bar membership in good standing.
• 15+ years of legal experience, including senior in‑house leadership roles in high‑growth technology or SaaS companies.
• Extensive experience with SaaS commercial agreements, data processing, and global deal structuring.
• Deep knowledge of AI/ML legal issues, data governance, privacy regulations (GDPR, CCPA), and algorithmic accountability.
• Proven corporate governance experience, preferably with Board‑level exposure.
• Experience managing cross‑border employment law and international corporate structures.
• Strong executive communication skills and comfort operating in PE‑backed, high‑growth environments.
