Sr. Director, Associate General Counsel, Commercial Lead

About the role

Evolv Technology builds AI-powered security solutions and is looking for an experienced, business-minded commercial transactions leader to build a world-class, customer-focused legal function. Reporting to the General Counsel and working closely with GTM leadership, the role streamlines deal execution, supports the channel partner ecosystem and helps shape a global commercial legal team. It is based in Waltham, Massachusetts, with two days of remote work per week.

Key responsibilities

• Lead a small commercial legal team covering strategic and enterprise transactions and partner deals, and advise Sales, Channel and other leaders
• Monitor legal and regulatory developments affecting the business and help anticipate and mitigate future risks
• Design, deliver and automate scalable contracting frameworks, playbooks, templates and processes that shorten sales cycles
• Work with Finance, Compliance and Product on partner programs, new product launches, renewals and customer policies
• Negotiate complex commercial contracts such as strategic transactions, partner agreements, licenses, supply chain and distributor agreements, SaaS and professional service agreements, data processing agreements and vendor contracts
• Oversee public sector and education contracting, including federal and state procurement compliance, bid strategy and risk mitigation, with outside counsel
• Support direct, channel and distribution agreements domestically and internationally

Required profile

• 12+ years of relevant legal experience, preferably in-house at an enterprise SaaS or AI-enabled technology company
• Extensive experience negotiating complex B2B sales and channel contracts; regulated or public sector experience is preferred
• Proven ability to manage and scale a legal team
• JD and admission to practice in at least one U.S. jurisdiction; international legal experience is a plus
