Senior Manager – M&A Tax

About the role

PwC is seeking a Senior Manager to join its Mergers and Acquisition Tax practice in Chicago. You will advise clients on complex tax matters related to M&A transactions, both domestic and cross‑border, and act as a strategic consultant on tax planning, risk assessment, and financial modeling.

Key responsibilities

• Lead and manage large M&A tax engagements, including restructuring, divestiture, partnership and insolvency projects.
• Perform financial analyses to evaluate tax assets, risks, and cash‑flow impacts of transactions.
• Develop and communicate tax strategies, model taxable income, and advise on indirect tax and dispute resolution.
• Collaborate with multi‑disciplinary teams and senior client stakeholders to ensure project success.
• Coach and mentor junior staff, fostering an inclusive and high‑performing team environment.

Required profile

• Extensive experience in M&A tax, corporate tax, or related advisory services.
• Proven ability to manage complex, ambiguous problems and deliver clear solutions.
• Strong leadership and communication skills, with a focus on building trust across diverse teams.
