Senior Director, Transaction Counsel

About the role

Greystar is seeking an experienced Senior Director, Transaction Counsel to join its credit origination team. The attorney will play a pivotal role in structuring, negotiating, and closing complex real‑estate debt transactions for a global investment manager with roughly $78 billion of assets under management.

Key responsibilities

• Advise origination teams on legal risks during term‑sheet negotiations, loan documentation, and modifications, coordinating with external counsel as needed.
• Manage the loan closing process, including checklist calls, review of title commitments, surveys, environmental and zoning reports, and corporate documents.
• Support post‑closing activities such as reviewing assignment documents, eligibility representations, and trust receipt paperwork.
• Oversee legal coordination for collateralized loan obligations, including note splits, participation reviews, and compliance monitoring.
• Coordinate entity formation with investment, corporate legal teams, and outside counsel.
• Partner with asset management and external servicers on post‑closing matters, including workouts and enforcement.
• Provide mentorship and guidance to junior legal team members.

Required profile

• 10+ years of experience at a law firm or in‑house with a lender, REIT, or commercial real‑estate investment firm focused on credit transactions.
• Law degree from an accredited institution and active bar admission in good standing.
• Deep knowledge of commercial‑real‑estate loan documentation, including senior mortgages, construction loans, warehouse lines, B‑notes, mezzanine and preferred‑equity structures.
