Litigation & Commercial Contracts Counsel

About the role

Our client, a global professional services firm, is seeking an Assistant General Counsel to join a fast‑paced, growth‑oriented legal team in New York. Reporting to the General Counsel, you will handle a blend of litigation, commercial contracting, and selective employment matters across the business.

Key responsibilities

• Draft, review and negotiate a high volume of complex commercial agreements, including MSAs, SOWs, SaaS contracts, NDAs and vendor contracts, advising on risk allocation, liability, indemnification and IP.
• Provide counsel on data privacy and security obligations within commercial deals.
• Manage litigation matters end‑to‑end with outside counsel, covering employment, contract and IP disputes in U.S. and international jurisdictions, including strategy, settlement and legal‑spend oversight.
• Advise HR and business leaders on employment issues and oversee pre‑litigation claims, arbitrations and agency proceedings.

Required profile

• 8–12 years of combined commercial litigation and contracting experience; in‑house experience strongly preferred.
• Strong track record with complex litigation and large B2B agreements, excellent drafting and negotiation abilities.
• J.D. degree and active bar admission in good standing (New York preferred).
