Founding General Counsel

About the role

Starbridge is seeking its first in‑house lawyer to lead the legal, contracts and public‑sector compliance function. Reporting directly to the CEO, you will build the legal architecture that enables the company to operate as a modern public‑sector software distributor.

Key responsibilities

• Design and implement the legal framework for multi‑party transactions involving OEMs, distributors and government buyers.
• Draft and maintain core agreements such as OEM authorizations, reseller contracts, public‑sector order forms, EULA riders, DPAs and SaaS agreements.
• Build and operate a government‑contracts system covering eligibility, flow‑downs, certifications, pricing, reporting and audit readiness.
• Establish a deal‑desk with templates, clause libraries, approval thresholds and service‑level expectations.
• Manage an external counsel bench and collaborate with product and engineering teams to translate legal logic into software.

Required profile

• Proven experience as a practicing attorney, preferably with exposure to public‑sector procurement, SaaS contracts or technology transactions.
• Strong judgment and ability to create processes from scratch while working in a fast‑growing startup environment.
• Excellent communication skills to educate sales, finance and product teams on legal requirements.

Required skills

• Contract drafting and negotiation.
• Knowledge of public‑sector compliance, federal and SLED procurement regulations.
• Experience with SaaS licensing, data protection agreements and security terms.
