Director of Legal

About the role

Vitis Energy is seeking a Director of Legal to serve as the primary legal advisor and strategic business partner. Reporting to the CEO, the role supports the company’s growth objectives while safeguarding its interests across a broad range of energy projects and corporate activities.

Key responsibilities

• Provide practical, business‑oriented legal advice to the CEO and executive team.
• Identify and mitigate legal and commercial risks, and develop policies and governance standards.
• Lead negotiation, drafting and review of EPC, supply, joint‑venture, power purchase, real‑estate, consulting, confidentiality, O&M and software licensing agreements.
• Support project finance, tax‑equity, debt financings, mergers and acquisitions, and strategic investments, including due diligence and closing documentation.
• Oversee corporate governance for Vitis Energy and its affiliates, maintaining board resolutions, ownership and corporate records.
• Manage outside counsel relationships, budgets and legal expenditures.
• Implement legal technology solutions such as AI‑enabled tools, contract lifecycle management (CLM) systems and document automation.
• Advise on compliance, litigation, employment matters, insurance and dispute resolution.

Required profile

• Extensive experience as a senior legal leader in the energy or infrastructure sector.
• Proven track record in commercial transactions, project finance and M&A.
• Strong understanding of corporate governance and regulatory compliance.
• Experience managing outside counsel and legal budgets.
• Ability to develop and implement scalable legal processes and policies.
