Corporate & Securities Counsel – Public Company Advisors

About the role

The firm is seeking an experienced Counsel or Senior Counsel to join its Corporate & Securities Practice Group within the Public Company Advisors Team. The attorney will work with large Nasdaq and NYSE‑listed clients on complex securities, governance, capital‑markets and regulatory matters.

Key responsibilities

• Represent public‑company clients in securities offerings and capital‑markets transactions.
• Prepare and review periodic reports on Forms 10‑K, 10‑Q, and 8‑K.
• Draft proxy statements, manage annual shareholder meeting matters, and advise on Section 16 reporting.
• Provide corporate‑governance and board advisory services.

Required profile

• 8+ years of corporate and securities experience, preferably from a large firm, in‑house group, or the SEC.
• Demonstrated ability to advise public companies on the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Prior SEC experience is a significant plus.
• Active law license in the jurisdiction of practice or eligibility to obtain one.
• Strong academic credentials and excellent written and oral communication skills.

• Expertise in Securities Act of 1933 and Securities Exchange Act of 1934.
• Experience with SEC reporting (Forms 10‑K, 10‑Q, 8‑K).
• Knowledge of proxy‑statement preparation and Section 16 compliance.
• Corporate‑governance advisory and board‑counsel experience.
