Corporate Paralegal

About the role

Playlist is seeking a Corporate Paralegal to support its legal team in managing corporate governance, entity administration, and strategic transaction matters. The role involves maintaining accurate corporate records, assisting with mergers and acquisitions, and ensuring compliance across multiple jurisdictions.

Key responsibilities

• Prepare and maintain corporate governance documents such as powers of attorney, officer’s certificates, resolutions, consents, agendas, and minutes.
• Manage legal entity maintenance, including annual filings, state registrations, intercompany agreements, formations, and dissolutions.
• Maintain corporate records, databases, and organizational charts; generate reports and respond to information requests.
• Support strategic projects and corporate transactions (e.g., M&A) by handling due diligence, document organization, signature coordination, and post‑closing activities.
• Coordinate with internal stakeholders, outside counsel, registered agents, and third‑party service providers on corporate matters.
• Track deadlines and manage legal aspects of compliance, audit, tax, and KYC requests across applicable jurisdictions.
• Identify and implement process improvements to enhance efficiency, organization, and record‑keeping.
• Conduct legal and corporate research and assist with special projects as needed.

Required profile

• 5+ years of corporate paralegal experience in an in‑house legal department, law firm, or a combination of both.
• Experience supporting corporate governance and legal entity management, preferably in a globally‑operating company.
• Strong organizational skills with keen attention to detail.
• Ability to handle sensitive and confidential information with professionalism.
