Corporate Legal Counsel

About the role

Stonehenge Capital is seeking a Corporate Legal Counsel to join its team in either Columbus, Ohio or Baton Rouge/New Orleans, Louisiana. The role supports the firm’s tax‑credit investment platform, providing legal guidance across renewable energy, historic rehabilitation, film and other incentive programs.

Key responsibilities

• Act as trusted legal and business advisor to investment and executive leadership.
• Structure, draft, negotiate and support closing of agreements such as letters of intent, confidentiality agreements, partnership operating agreements, purchase agreements and financing documents.
• Assist underwriting teams and outside counsel on all legal aspects of tax‑credit investment transactions from structuring through closing.
• Partner with investment professionals to develop practical solutions while managing legal and commercial risk.
• Lead legal due diligence, identify regulatory risks and devise mitigation strategies.
• Manage outside counsel to ensure high‑quality, cost‑effective representation.
• Advise on corporate governance, regulatory compliance and other legal matters affecting investment activities.
• Support strategic initiatives and additional legal matters as responsibilities expand.

Required profile

• Juris Doctor (J.D.) from an accredited law school and admission to practice in at least one U.S. jurisdiction.
• Minimum 5 years of experience in tax‑credit, renewable energy, real estate or related investment legal practice.
• LL.M. in Taxation preferred (not required).
• Experience with tax‑credit finance, renewable energy, real estate, private equity or structured finance is strongly preferred.
• Strong understanding of corporate transactions and contract negotiation.
