Corporate Legal Counsel

About the role

Stonehenge Capital is seeking a Corporate Legal Counsel to join its team in either Columbus, Ohio or the Baton Rouge/New Orleans, Louisiana office. The role provides high‑level legal support for a nationally recognized tax‑credit investment platform spanning renewable energy, historic rehabilitation, film, and other incentive programs.

Key responsibilities

• Act as a trusted legal advisor to investment and executive leadership teams.
• Draft, negotiate, and close a wide range of agreements, including letters of intent, confidentiality agreements, partnership operating agreements, purchase agreements, and financing documents.
• Support the underwriting team and coordinate with outside counsel on all legal aspects of complex tax‑credit transactions from structuring through closing.
• Partner with investment professionals to develop business‑oriented solutions while managing legal and commercial risk.
• Lead legal due diligence, identify regulatory risks, and devise mitigation strategies.
• Oversee outside counsel to ensure cost‑effective, high‑quality representation.
• Advise on corporate governance, regulatory compliance, and other legal matters affecting investment activities.
• Support strategic initiatives and broader organizational legal needs as the role expands.

Required profile

• Juris Doctor (J.D.) from an accredited law school and admission to practice in at least one U.S. jurisdiction.
• Minimum 5 years of experience in tax‑credit, renewable energy, real‑estate, private‑equity, or related investment legal practice.
• LLM in Taxation is a plus, but not required.
• Demonstrated ability to work collaboratively, exercise sound judgment, and deliver practical legal advice in a fast‑paced environment.

Required skills

• Strong understanding of corporate transactions, contract negotiation, and partnership structures.
• Experience with tax‑credit finance, renewable‑energy projects, real‑estate investments, and structured finance.
