Corporate Counsel

About the role

23andMe is seeking an exceptional Corporate Counsel to join its legal team in Sunnyvale, CA. Reporting to the General Counsel, you will support a broad range of corporate, governance, securities, and transactional matters.

Key responsibilities

• Provide general corporate and transactional support for business initiatives, including M&A and strategic collaborations.
• Ensure compliance with federal securities laws, NASDAQ rules, Sarbanes‑Oxley, and other corporate governance requirements.
• Advise on equity matters, equity plans, and compensation issues.
• Maintain corporate books, subsidiaries, and records, and support board governance activities.
• Manage disclosure controls, internal financial reporting controls, and oversee outside counsel as needed.

Required profile

• JD from an accredited law school and admission to a U.S. state bar, preferably California.
• Minimum 4 years of relevant experience in a national law firm or in‑house legal department.
• Strong corporate generalist background with expertise in securities law, governance, equity compensation, and M&A.
• Experience in biotechnology or healthcare is preferred.
• Excellent organizational, analytical, and communication skills with the ability to work autonomously and collaboratively.
