Corporate Counsel, Credit Transactions

About the role

Greystar is seeking an experienced Corporate Counsel to join its credit origination team. The attorney will play a pivotal role in structuring, negotiating, and closing complex real‑estate debt transactions, supporting both origination and capital‑markets activities across the global platform.

Key responsibilities

• Advise origination teams on legal risks during term‑sheet negotiations, loan documentation, and modifications, in coordination with external counsel.
• Manage the loan closing process, including coordinating checklist calls and reviewing title commitments, surveys, environmental and zoning reports, and corporate documents.
• Support post‑closing and leverage activities by reviewing assignment documents, eligibility representations, and related trust receipt paperwork.
• Oversee legal coordination for collateralized loan obligations, handling note splits, participation agreements, and compliance monitoring.
• Coordinate entity formation with Greystar’s investment, corporate legal teams, and external counsel.
• Collaborate with asset‑management and external servicers on post‑closing, workout, and enforcement matters.
• Provide mentorship and guidance to junior legal team members.

Required profile

• 5‑10 years of experience at a law firm or in‑house legal department serving lenders, REITs, or commercial‑real‑estate investment firms.
• Demonstrated ability to work independently in a fast‑paced, entrepreneurial environment.
• Strong collaborative skills with cross‑functional teams at all organizational levels.

Required skills

• Expertise in real‑estate debt transactions and loan documentation.
• Knowledge of collateralized loan obligations and credit facility compliance.
• Experience with entity formation and coordination with external counsel.
