Corporate Counsel – Contracts & Compliance

About the role

ISI is seeking a strategic Corporate Counsel to lead contracts and compliance efforts across its growing portfolio of government contracting, managed services, cybersecurity, and SaaS solutions. The role partners with executive leadership, sales, finance, and operations to provide practical legal guidance that balances risk protection with business execution.

Key responsibilities

• Draft, review, negotiate, and manage a wide range of commercial agreements, including MSAs, SOWs, SaaS contracts, NDAs, vendor and partnership agreements.
• Serve as the primary legal advisor for sales, finance, contracts, and operations during contract negotiations and customer onboarding.
• Respond to redlines, balance risk mitigation with revenue timelines, and advise on liability, indemnification, and limitation of liability clauses.
• Support strategic decisions related to pricing structures, renewals, and customer relationship management.
• Develop and improve contract templates, legal workflows, and contract lifecycle management tools such as PandaDoc.
• Provide guidance on managed services, cybersecurity, compliance services, and government contracting requirements.

Required profile

• Business‑oriented legal professional comfortable in a fast‑paced, growth‑focused environment.
• Strong communicator able to collaborate with cross‑functional teams and executive leadership.
• Experience with commercial contracting, risk management, and compliance in technology or government‑contracting sectors.
