Commercial Counsel

About the role

Giga is rapidly building AI data centers and needs a Commercial Counsel who can move at the same speed. The lawyer will be embedded in the business, working side‑by‑side with senior leaders to close commercial deals and keep the company’s legal infrastructure agile.

Key responsibilities

• Identify and manage legal risk in commercial transactions, offering practical solutions.
• Draft, review, and negotiate a high volume of contracts, including EPC, equipment purchase, power purchase, land licenses, and vendor agreements.
• Partner with business development, procurement, construction, and finance teams to provide deal‑forward guidance under tight deadlines.
• Develop and maintain contract templates, playbooks, and standard terms to accelerate business processes.
• Support financing and real‑estate transactions, reviewing leases, easements, and financing documents.
• Manage outside‑counsel relationships, including scoping work and reviewing deliverables.

Required profile

• Licensed attorney with experience in commercial contracts, preferably in construction, equipment procurement, or energy sectors.
• Comfortable working in a fast‑paced environment with high transaction volume.
• Strong analytical skills and ability to communicate legal concepts clearly to non‑legal stakeholders.
