Associate Counsel, Corporate

About the role

Rain is seeking an Associate Counsel to join its lean legal team and drive corporate and M&A activities as the company expands globally. You will act as a strategic legal partner to senior leadership, shaping transactions, corporate structure, and regulatory compliance for a fast‑moving fintech platform.

Key responsibilities

• Lead end‑to‑end M&A execution, managing acquisitions, divestitures and strategic investments from LOI through closing and post‑closing integration.
• Draft, review and negotiate transaction documents including purchase agreements, merger agreements, escrow agreements, transition services agreements, employment and consulting agreements, IP assignments, and board or stockholder consents.
• Coordinate due‑diligence efforts across Finance, Compliance, Risk, Product and Engineering, identifying deal risks and implementing appropriate protections.
• Advise on corporate structuring and international expansion, working with local counsel to establish entities in new markets.
• Support regulatory approvals for M&A, such as change‑of‑control filings with state money‑transmitter licenses or foreign financial authority approvals (EMI, VASP, payment‑institution licenses).
• Assist with general corporate matters, including corporate governance, board documentation, and compliance initiatives.

Required profile

• Juris Doctor (JD) or equivalent law degree and active bar admission.
• Significant experience (typically 3‑7 years) in corporate law, M&A, and securities transactions, preferably within fintech or regulated financial services.
• Demonstrated ability to manage complex, cross‑border deals and work collaboratively with multidisciplinary teams.
• Strong analytical, negotiation and drafting skills, with a keen eye for regulatory detail.
