Legal Counsel – Corporate & IP Focus

About the role

We are seeking an experienced Legal Counsel to join a leading organization in New York. The role involves managing licensing agreements, supporting commercial teams worldwide, and providing strategic legal advice to ensure business decisions align with risk tolerance.

Key responsibilities

• Lead preparation, review, and negotiation of licensing arrangements with academic, corporate, and public‑sector customers.
• Partner with global commercial teams to support sales and licensing processes and accelerate transactions.
• Draft, assess, and negotiate a broad range of business agreements, including those involving intellectual property rights.
• Advise internal stakeholders on legal and strategic considerations, evaluating exposure and presenting recommendations to senior sales leadership.
• Assist with dispute‑related work, including subpoenas, investigations, and litigation across civil, commercial, regulatory, and employment matters.
• Coordinate discovery activities, manage document review and production, and ensure compliance with legal obligations.
• Analyze pleadings, motions, and case materials, collaborating with internal teams and outside counsel on strategy, timelines, and budgets.

Required profile

• Juris Doctor from an ABA‑accredited law school.
• Member of the New York State Bar.
• 4–6 years of experience in a law firm or in‑house setting handling corporate, commercial, and intellectual property matters.
