Due Diligence Analyst – Corporate Finance

About the role

H.C. Wainwright is seeking a motivated Due Diligence Analyst/Associate to join its leading corporate finance team. The role supports client transactions by conducting thorough due diligence, assessing risk, and preparing detailed documentation for securities offerings and other corporate activities.

Key responsibilities

• Liaise with senior client management, investment banking teams, legal counsel, auditors and consultants to gather and verify due‑diligence information.
• Manage the transactional due‑diligence process, including questionnaires, financial models, commercial agreements, press releases, news articles and background checks.
• Perform Customer Due Diligence (CDD), Enhanced Due Diligence (EDD) and AML/OFAC research for new and existing customers.
• Analyze public SEC filings (10‑K, 10‑Q, S‑3) and other sources to identify risk factors, red flags and negative news.
• Assess financial and operating trends, liquidity issues and potential liabilities.
• Communicate findings clearly to internal teams, management and clients.
• Maintain organized electronic filing systems and update firm databases.

Required profile

• Minimum 2 years of experience in due diligence, securities law or consulting, preferably at an investment bank, law firm or due‑diligence outsourcing firm.
• BA/BS or equivalent education.
• Strong analytical mindset with attention to detail.
• Ability to work independently and manage multiple tasks.
