Corporate Governance Paralegal

About the role

Checkout.com is seeking a dedicated Corporate Governance Paralegal to join its Legal team in New York, supporting business growth and the Merchant Acquiring Limited Purpose Bank charter. The role involves board and corporate entity management across multiple jurisdictions and close collaboration with senior management and other functions.

Key responsibilities

• Lead board governance matters for the MALPB and group entities, including scheduling board meetings, preparing minutes and managing delegations.
• Support capital actions such as dividends and capitalisations, and other corporate transactions.
• Manage group entity lifecycle – incorporations, director/officer appointments, dissolutions, corporate filings and statutory registers.
• Draft and review legal documents including corporate resolutions and board minutes.
• Assist Finance with annual audits, focusing on the MALPB.
• Arrange signatures, notarisation and apostilles for legal documents.
• Identify and implement improvements to existing workflows and processes.

Required profile

• Paralegal certificate and/or Bachelor’s degree from an accredited institution.
• 2‑3+ years of corporate governance or company secretary experience in a law firm or in‑house setting.
• Experience working internationally, preferably in a high‑growth fintech or fast‑paced environment.
• Excellent time‑management, autonomy, written and interpersonal communication skills, and strong attention to detail.
• Systematic thinker with a track record of process improvement.

Required skills

• Experience drafting and reviewing corporate resolutions and board minutes.
• Familiarity with corporate filings, statutory registers, and notarisation processes.
