Corporate Associate Attorney – Fund Formation & Partnerships

A sophisticated corporate practice is seeking a talented Corporate Associate to join its growing team in Atlanta. This is an excellent opportunity for an attorney who wants meaningful responsibility across complex investment structures, fund formation, joint ventures, and private equity transactions. The associate will work closely with experienced corporate attorneys on high‑value, strategically important matters, gaining substantial exposure to structuring, drafting, and negotiating sophisticated investment arrangements.

Key responsibilities

• Formation and structuring of private investment funds and related entities.
• Drafting and negotiating complex partnership agreements and LLC operating agreements.
• Executing joint venture and strategic investment transactions.
• Handling private equity transactions and related corporate matters.
• Preparing and negotiating investment and governance documentation.
• Advising clients throughout the lifecycle of sophisticated corporate investments.

Required profile

• At least two years of relevant transactional experience within a law firm, ideally involving fund formation, joint ventures, private equity, or closely related corporate matters.
• Experience with partnership tax concepts is beneficial but not required.
• Juris Doctor degree and strong academic credentials.
• Excellent drafting, analytical, written, and verbal communication skills.
