About the role
Commonwealth Fusion Systems is looking for an experienced, pragmatic, and highly strategic Assistant General Counsel – Commercial & Corporate to serve as a foundational leader on its legal team. The role will shape how legal operates as the company transitions from R&D to commercial execution, handling mission‑critical transactions and building the legal infrastructure for future growth.
Key responsibilities
- Design and scale the commercial legal function, creating contract workflows, standard templates, negotiation playbooks and training to accelerate deal velocity.
- Lead high‑stakes commercial and partnership negotiations, drafting and negotiating complex agreements with customers, suppliers, joint‑development partners and strategic alliances.
- Serve as core legal partner on corporate development initiatives, including joint ventures, strategic investments, licensing and technology transfers.
- Provide legal support for corporate, subsidiary and entity management, advising the CLO, CFO and CCO on corporate‑adjacent matters.
- Advise procurement and global supply‑chain teams on multi‑tiered international contracts, mitigating risk for advanced hardware and specialized materials.
Required profile
- J.D. from an accredited law school and active bar admission in at least one U.S. jurisdiction.
- 12+ years of legal experience, preferably with top‑tier law firm and in‑house work at a fast‑growing technology or energy company.
- Deep expertise in drafting and negotiating complex commercial contracts, strategic partnerships, global supply‑chain agreements and corporate‑development transactions.
- Proven ability to build and operationalize commercial legal systems, contract‑management tools and negotiation playbooks from the ground up.
- Experience mentoring or managing legal teams, with a clear readiness to grow into a team‑lead role.
- Strong business acumen, executive presence and ability to advise senior leadership on high‑impact decisions.
