Senior Commercial Counsel

About the role

Giga is looking for a Senior Commercial Counsel to embed directly within its business teams and drive the full lifecycle of commercial contracts. You will work at the intersection of AI infrastructure, energy, and construction, ensuring deals close quickly without sacrificing legal rigor.

Key responsibilities

• Identify, assess, and mitigate legal risk in high‑volume commercial transactions.
• Draft, review, and negotiate EPC agreements, equipment purchase contracts, power purchase agreements, land licenses, and vendor/service contracts.
• Partner strategically with business development, procurement, construction, and finance teams to provide deal‑forward guidance under tight timelines.
• Create and maintain contract templates, playbooks, and standard terms to accelerate business processes.
• Support financing and real‑estate transactions, including lease agreements, easements, and financing documents.
• Manage outside counsel relationships, including scoping work, controlling spend, and ensuring quality.
• Develop legal infrastructure such as contract management systems and internal workflows as the company scales.
• Stay current on legal developments affecting energy infrastructure, construction, and AI data center projects.

Required profile

• Juris Doctor from an accredited law school and active bar admission in at least one U.S. jurisdiction.
• Minimum 4 years of commercial transactional experience, preferably in energy, construction, or technology sectors.
• Demonstrated ability to work quickly and collaboratively in a fast‑moving environment.
• Willingness to be based in San Francisco, Long Beach, or Houston, with flexibility for exceptional remote candidates.
